General Terms & Conditions – Trove Spices
Scope: These Terms apply to all agreements with Trove Spices. Any other terms from the Client are not applicable unless agreed in writing.
Offers & Orders: All offers are valid for 7 days. An order is binding only after written confirmation from Trove Spices.
Products & Quality: Cloves and other spices are supplied according to standard trade quality. Minor variations are acceptable. Trove Spices provides necessary export documents (COO, Phytosanitary, Halal if requested).
Prices & Payment: Prices are in USD, exclusive of duties, taxes, and transport unless agreed otherwise. Payment is due upon delivery or within 10 days of invoice.
Delivery & Risk: Deliveries follow Incoterms (FOB Surabaya unless agreed otherwise). Risk transfers upon delivery; ownership remains with Trove Spices until full payment is received.
Inspection: The Client must check goods upon arrival and report any defects immediately in writing.
Confidentiality: Both Parties must keep business information confidential.
Liability: Trove Spices is not liable for indirect damages. Direct liability is limited to the invoice value.
Force Majeure: In unforeseen circumstances, deliveries may be delayed or cancelled without compensation.
Governing Law: Agreements are governed by Indonesian law. Disputes are settled in Surabaya Court (or arbitration if mutually agreed).
